Acceptance of Terms

By accessing or using the M23 website, M23 Engine, or related services, you agree to these Terms of Service. M23 is operated by H9D Studio LLC. If you do not agree, do not use the website or services.

Services

M23 builds and operates AI-native businesses and brands. M23 Engine is its proprietary operating system for strategy, operations, creation, distribution, analytics, revenue, automation, and learning. Media is the first active division.

Permitted Use

You agree to use the website and services only for lawful purposes and in a way that does not interfere with the operation, security, or availability of the website or services.

Intellectual Property

All website content, M23 branding, M23 Engine software, designs, text, workflows, and materials are owned by H9D Studio LLC or its licensors unless otherwise stated. You may not copy, modify, distribute, or exploit these materials without written permission.

Third-Party Services

M23 may use or integrate with third-party platforms and service providers. Those services may be subject to separate terms, policies, and availability.

No Warranty

The website and services are provided on an “as is” and “as available” basis. H9D Studio LLC and M23 do not guarantee uninterrupted operation, error-free functionality, or specific business results.

Limitation of Liability

To the fullest extent permitted by law, H9D Studio LLC and M23 are not liable for indirect, incidental, consequential, special, or punitive damages arising from use of the website or services.

Changes

We may update these Terms from time to time. Continued use of the website or services after changes are posted means you accept the updated Terms.

Eligibility and Accounts

You must be legally able to accept these Terms and authorized to act for any organization or platform account you connect. You are responsible for safeguarding your M23 access, maintaining accurate information, and promptly reporting suspected unauthorized use.

Connected Platforms and TikTok

M23 may allow an authorized operator to connect a third-party platform account through OAuth. For TikTok, M23 uses the permissions shown during TikTok authorization to identify the connected creator and submit content the operator has reviewed and approved. You authorize M23 to transmit the selected media, caption, privacy choice, and interaction settings to TikTok when you choose to publish. TikTok services remain governed by TikTok's own terms, policies, technical limits, moderation, and availability.

Publishing Responsibilities

You remain responsible for the content you select, the accounts you connect, the accuracy of publishing settings, and compliance with intellectual-property, advertising, privacy, platform, and other applicable requirements. You must not submit content you do not have the right to use, misleading or unlawful material, malicious code, or content that violates a connected platform's rules. M23 may block, delay, or refuse an action for safety, authorization, technical, or compliance reasons.

Authorization, Revocation, and Disconnection

You may revoke a connected platform's authorization through that platform or request disconnection from M23. Revocation may prevent future publishing and may not reverse actions already completed at your direction. M23 may suspend or disconnect an integration when credentials expire, platform access changes, security is at risk, or these Terms are violated.

Privacy

Our Privacy Policy explains how information is collected and processed, including information received through TikTok. Our Data Deletion page explains how to request deletion.

Service Changes and Termination

We may modify, suspend, or discontinue features, integrations, or access. You may stop using the services at any time. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limitations, and dispute-related terms—will survive.

Indemnification

To the extent permitted by law, you agree to be responsible for claims, losses, and expenses arising from your content, connected accounts, misuse of the services, or violation of these Terms or applicable law.

Governing Law

These Terms are governed by the laws applicable to H9D Studio LLC in the United States, without regard to conflict-of-law principles, except where mandatory consumer law provides otherwise.
